These Affiliate Program Terms ("Agreement") govern participation in the LeafCodes Affiliate Program ("Program") operated by LeafCodes ("LeafCodes", "Company", "we", "us", or "our").
Effective Date: September 19, 2026By registering for the LeafCodes Affiliate Platform, submitting a lead, or otherwise participating in the Program, the affiliate ("Affiliate", "you", or "your") agrees to these Terms.
The LeafCodes Affiliate Program allows individuals or organizations to introduce genuine prospective clients to LeafCodes for software development, technology, consulting, or other services offered by LeafCodes.
The Affiliate's primary role is to identify and introduce potential business opportunities.
LeafCodes may handle the subsequent sales and project process, including:
The Affiliate may continue to communicate with the prospect through email or other written communication.
Participation in client phone or video calls is not mandatory where LeafCodes has agreed to handle those communications directly.
The Affiliate must create an account on the LeafCodes Affiliate Platform:

Authentication may be performed using Google Sign-In.
The Affiliate is responsible for maintaining accurate account and payment information.
An Affiliate account is personal and must not be shared with another individual.
Before introducing a prospect to LeafCodes, the Affiliate should register the prospect through the Affiliate Platform.
The Affiliate should provide sufficient information to identify the prospect and understand the potential project, including where available:
The registration timestamp will be recorded by the Platform.
The Affiliate should register the prospect before making the introduction wherever reasonably possible.
A lead may be considered an Affiliate referral when:
Lead registration does not automatically guarantee commission eligibility. LeafCodes may verify the prospect before approving the referral.
If the same prospect is registered by multiple Affiliates, LeafCodes may use registration timestamps, communication records, existing CRM records, and other relevant information to determine attribution.
The standard LeafCodes Affiliate commission is:
The commission percentage applicable to a project will be determined based on the applicable project/referral terms.
The commission is calculated against the eligible amount actually invoiced to and received from the client, subject to the exclusions described in these Terms.
If a project has a total agreed value of: $100,000
and the agreed Affiliate commission is: 15%
the potential total Affiliate commission is: $15,000
However, commission is not necessarily paid as one single payment. If the project is invoiced in stages, commission is calculated against each eligible invoice.
The Affiliate commission applies to eligible invoices generated during the referred project until the project is closed, subject to these Terms.

Therefore, if the complete project is invoiced and paid, the total commission would be $15,000.
The applicable commission percentage may vary depending on the size, nature, complexity, commercial value, and other characteristics of the project.
Unless otherwise agreed in writing, LeafCodes may use the following indicative commission structure:

The applicable percentage must be confirmed by LeafCodes before or when the opportunity is accepted.
The above structure is an indicative framework and may be modified for a specific project through written agreement.
Suppose an Affiliate introduces a project worth $120,000. If LeafCodes confirms an applicable commission rate of 18%, the total commission on eligible project invoices would be:
$120,000 × 18% = $21,600
If the project is invoiced as:

The commission is calculated separately against each eligible invoice.
Commission is considered payable only when the corresponding client payment has been successfully received by LeafCodes.
Issuing an invoice to the client does not by itself guarantee that the Affiliate commission is immediately payable.
If an invoice remains unpaid, disputed, cancelled, or reversed, the associated commission may remain pending.
Once the corresponding client payment has been received and the commission has been verified, LeafCodes will process the Affiliate commission according to its normal payout schedule.
The Affiliate must maintain valid payout information in the Affiliate Platform.
The Affiliate can view applicable commission and payout information through the Affiliate Platform.
If a client payment is subsequently:
LeafCodes may adjust the corresponding Affiliate commission.
Where a commission has already been paid, LeafCodes may:
If a referred client purchases additional services from LeafCodes during the referred project, such additional invoices may qualify for commission where they form part of the same project or agreed referral arrangement.
Examples may include:
Commission eligibility for substantially separate projects or unrelated future engagements may require separate confirmation.
Affiliate commissions may be subject to applicable taxes, withholding requirements, reporting obligations, or other statutory deductions.
The Affiliate is responsible for providing accurate tax and payment information where required.
LeafCodes may deduct or withhold amounts where required by applicable law.
Registration of a lead does not guarantee that:
Commission is dependent on an eligible referral and the applicable project and payment conditions.
The Affiliate agrees to:
The Affiliate must not represent themselves as a LeafCodes employee unless separately authorized.
LeafCodes may directly communicate with any registered prospect.
LeafCodes may conduct:
An Affiliate may remain involved through written communication where agreed.
The Affiliate's commission rights are not dependent on attending client meetings unless otherwise specifically agreed for a particular opportunity.
The Affiliate must keep confidential all non-public information received from LeafCodes, including:
Confidential information must not be disclosed to unauthorized third parties.
The Affiliate must have a legitimate basis for providing prospect information to LeafCodes.
The Affiliate must not submit personal information obtained through unlawful or deceptive means.
LeafCodes may use registered lead information for legitimate business purposes, including contacting the prospect and evaluating the potential project.
A lead may not qualify for commission where:
LeafCodes may notify the Affiliate when a lead is rejected or determined to be ineligible.
If an Affiliate believes that a commission has been incorrectly calculated or omitted, the Affiliate may contact LeafCodes with the relevant:
LeafCodes will review the available records and provide clarification where appropriate.
LeafCodes may suspend or terminate an Affiliate account for:
Legitimate commissions already earned may remain payable subject to verification, applicable deductions, refunds, disputes, and these Terms.
The Affiliate participates as an independent party.
Nothing in these Terms creates:
The Affiliate is not authorized to bind LeafCodes to contracts, prices, warranties, or commitments unless expressly authorized in writing.
LeafCodes may update its standard commission structure from time to time.
Any commission rate specifically confirmed for an already registered and accepted opportunity should remain governed by the terms communicated for that opportunity, unless otherwise agreed in writing.
Changes to the standard commission structure will generally apply to new opportunities after the effective date of the change.
LeafCodes may modify the Affiliate Program, Platform features, payout procedures, or these Terms.
Material changes may be communicated through the Platform or by email.
Continued participation after the effective date of updated Terms may constitute acceptance where permitted by applicable law.
