These Affiliate Program Terms & Conditions ("Terms") govern participation in the LeafCodes Affiliate Program ("Program") operated by LeafCodes ("LeafCodes", "we", "us", or "our").
Effective Date: September 19, 2026By registering for or using the LeafCodes Affiliate Platform, you acknowledge that you have read, understood, and agreed to these Terms.
To participate in the Program, you must:
LeafCodes may approve, reject, suspend, or terminate an affiliate account at its discretion, subject to applicable law and any separate written agreement.
Affiliate accounts are personal to the registered affiliate and must not be shared with another person.
You are responsible for maintaining the security of your account and for activities performed through your account.
You must notify LeafCodes if you believe your account has been accessed without authorization.
Prospective clients should be registered through the LeafCodes Affiliate Platform before making an introduction whenever reasonably possible.

After signing in with Google, affiliates can access the dashboard and create a new lead.
Lead registration should include accurate and sufficient information to allow LeafCodes to identify and evaluate the opportunity.
A lead may be attributed to an affiliate when:
Registration does not automatically guarantee attribution.
Where multiple affiliates submit the same prospect, LeafCodes may use its records, timestamps, prior communication history, and other relevant information to determine attribution.
LeafCodes' determination will be based on available records and applicable Program rules.
Affiliates are expected to submit genuine business opportunities.
You must not knowingly submit:
Affiliates may introduce prospects to LeafCodes through written communication and other agreed channels.
Once a valid referral has been registered, LeafCodes may directly handle:
An affiliate is not required to participate in client calls where LeafCodes has agreed to handle those discussions directly.
The affiliate may continue to provide support through email or other written communication where appropriate.
For an eligible referred project, the applicable affiliate commission will generally be 15%–20% of each eligible invoice generated for the referred project, subject to the specific commission terms agreed for that referral.
The commission is not necessarily limited to the first invoice.
Where applicable, the commission may continue to apply to eligible invoices issued during the project until project closure.
The exact commission percentage applicable to a particular referral may depend on the agreed affiliate terms for that opportunity.
Commission eligibility may depend on:
LeafCodes may withhold or review a commission where the underlying transaction is disputed, refunded, cancelled, unpaid, or otherwise subject to review.
Affiliate commissions are linked to the applicable client invoice/payment cycle.
Unless otherwise agreed in writing, commission becomes payable after LeafCodes receives the corresponding client payment and completes the applicable verification and processing.
Commission payments may be subject to applicable taxes, withholding requirements, payment-processing conditions, or other legal requirements.
Affiliates are responsible for providing accurate payout information.
LeafCodes is not responsible for payment delays or failed transfers resulting from incorrect information supplied by the affiliate.
Where supported by the Platform, payout information may include bank or other payment details required to process commissions.
Lead registration does not guarantee:
Project decisions remain subject to the client's requirements, LeafCodes' commercial assessment, and other applicable circumstances.
Affiliates must conduct outreach professionally and lawfully.
Affiliates must not:
Affiliates may receive confidential information relating to LeafCodes, its clients, prospects, pricing, proposals, technology, business operations, or projects.
Such information must be kept confidential and must not be disclosed to unauthorized persons.
Confidential information should only be used for purposes connected with the Affiliate Program.
These confidentiality obligations continue after termination to the extent permitted by applicable law.
LeafCodes retains all rights in its:
Participation in the Affiliate Program does not transfer ownership of LeafCodes intellectual property to the affiliate.
LeafCodes may provide limited permission to use approved marketing materials solely for legitimate affiliate activities.
The following activities may result in suspension or termination:
Registering a lead does not mean that the affiliate owns the client or the client's business.
LeafCodes may communicate directly with registered prospects and clients for purposes of evaluating, selling, delivering, and supporting services.
The affiliate's commission rights, where applicable, are governed by these Terms and any specific written agreement.
Unless separately agreed in writing, participation in the Program does not create:
Affiliates are independent participants in the Program.
LeafCodes may suspend or terminate an affiliate account where there is:
Where appropriate, LeafCodes may provide notice and an opportunity to address the issue.
Termination does not automatically remove legitimate commission rights that have already been earned, subject to applicable terms and any unresolved disputes.
LeafCodes may modify Program features, commission structures, processes, or these Terms from time to time.
Material changes may be communicated through the Platform, email, or another appropriate method.
Changes will generally apply prospectively unless otherwise required by law or expressly agreed.
To the extent permitted by applicable law, LeafCodes will not be responsible for indirect, incidental, special, or consequential losses arising from participation in the Program.
Nothing in these Terms excludes liability that cannot legally be excluded.
These Terms shall be governed by the laws applicable to LeafCodes' operating jurisdiction, unless otherwise agreed in writing or required by applicable law.
Any disputes will be subject to the courts or dispute-resolution mechanisms having appropriate jurisdiction.
